Maintenance Subscription Terms

These terms apply to the business website maintenance subscription and are read together with the Business Client Terms version 1.1. Online subscription checkout is not open yet; subscriptions are set up by written agreement, with the start date, billing date and price confirmed before any payment is authorised.
Maintenance is optional and is never a condition of owning a website that has been paid for in full.
1. Scope and relationship to other terms
- 1.1 These terms cover the business website maintenance subscription supplied by David Bray trading as Website Ready, at 13 Aspect House, Hatfield, AL10 8FL. Contact and cancellation email: David@websiteready.co.uk. Telephone: 07375080076. They apply alongside our Business Client Terms version 1.1, supplied before subscription acceptance. Clauses on care and skill, ownership, confidentiality, data protection, liability, disputes and notices in those terms also apply.
- 1.2 The standard subscription costs £25 per month for one website. We are not VAT registered and do not currently charge VAT. The accepted Order identifies the covered website, start date, billing date and any agreed promotion or variation. Hosting is charged separately or arranged directly by you. We confirm acceptance in writing. Maintenance is optional.
2. Duration, payment and renewal
- 2.1 The subscription begins on the agreed start date, normally the date your website goes live, and renews monthly until cancelled. An initial minimum term of 12 months runs from the start date. After the minimum term the subscription continues on a rolling monthly basis.
- 2.2 The fee is payable monthly in advance and is collected on the 1st of each month. Where the start date falls mid-month, the first payment covers the period from the start date to the same date in the following month; collection then moves to the 1st of each month. We will confirm the start date, first payment date, next billing date and minimum-term end date in writing before any payment is authorised.
- 2.3 Recurring card or bank payments require your payment authorisation. The confirmation will state the amount, frequency and first payment date. Cancelling a payment instruction does not by itself communicate cancellation of the contract: please also use clause 8. We will not continue collecting after an effective cancellation.
- 2.4 A free or discounted period follows the dates and scope in the Order. Paid automatic renewal after a free period occurs only if you agreed in advance to its price, billing date and renewal terms. Otherwise the service ends when the free period expires. We will send a reminder at least 14 calendar days before the first charge following a free period.
3. Routine maintenance
- 3.1 We check the covered website’s uptime at least once every two days and perform a weekly check of its agreed functionality, including navigation, links, display, HTTPS status and any agreed forms or integrations. Checks of enquiry routes use clearly labelled test details. We keep a brief record of checks and identified issues available on request. These checks sample availability and may not detect an interruption occurring entirely between checks.
- 3.2 We apply applicable supported security patches and routine updates to components within our administrative control, with timing appropriate to the severity and a safe deployment process. We investigate identified faults and carry out routine corrective work needed to keep the agreed website operating. This work, the checks in clause 3.1 and email support do not consume change credits. Where a platform provider controls an update, we review relevant notices and take reasonable steps within our control, including raising the issue with that provider.
- 3.3 Uptime checks every two days do not provide continuous human supervision or a guarantee that every fault or attack will be detected. The subscription does not guarantee uninterrupted or error-free operation, include penetration testing or security certification, or provide 24-hour staffed emergency cover. Major redevelopment, platform migrations, extensive incident recovery and new functionality require a separate agreed scope and price unless already included. We explain why work falls outside routine maintenance and obtain approval before charging. Work needed to correct our own breach is not charged as an extra.
4. Monthly change credits
- 4.1 You receive one change credit at the start of each paid monthly period. During an agreed free maintenance promotion, the same credit is awarded unless the Order states otherwise. Unused credits roll forward while the subscription remains active, up to a total available balance of three. No additional credit is added while the balance is three.
- 4.2 One credit covers one clearly defined small task reasonably estimated to take up to 30 minutes of hands-on work, including implementation and checking. Examples include replacing supplied text or images in an existing section, changing opening hours or contact details, or making a small adjustment to existing styling. Related edits can be grouped into one task if they fit the time allowance.
- 4.3 A credit is a task allowance, not a bank of minutes. Finishing a task in less than 30 minutes still uses one credit, and unused minutes do not carry forward. Credits are specific to the covered website and cannot be transferred, redeemed for cash or used for third-party charges.
- 4.4 You may combine up to three available credits for a task we agree is suitable, allowing an estimated 60 or 90 minutes respectively. New functionality, new pages, redesigns, copywriting, specialist SEO campaigns and substantial repairs are outside the standard allowance unless we expressly accept the task against credits.
- 4.5 Before starting, we will confirm the task, credit cost and expected timing. We reserve those credits once you approve and deduct them when work starts. Reserved credits count towards the maximum balance of three until work starts. If you cancel before work starts, they are released. We will not silently deduct additional credits or charge extra because a task takes longer than estimated.
- 4.6 If an unforeseen issue changes the scope, we will explain and obtain approval before extra work. If we stop before providing meaningful work, we restore the credit. If completed work differs from your approved instructions because of our error, we correct it without using another credit. A later change of preference or instruction is a new request.
- 4.7 Example: with no use, your balance becomes one in month one, two in month two and three in month three. It remains three in month four. If you then use one, it becomes two; the next monthly award restores it to three. We will keep an accessible record of awards, reservations and use.
5. Requests and service targets
- 5.1 Send requests through the agreed portal, if available, or our contact email. Include the page address, clear instructions and final copy or files. You may attach supporting material. We will ask for clarification if needed; incomplete requests may take longer.
- 5.2 We respond to support requests and identified fault alerts within one working day, meaning Monday to Friday excluding public holidays in England. A response acknowledges and assesses the issue and explains the next step; it is not a promise of a completed repair within that period. We prioritise outages and material security issues and provide an expected repair or completion time after assessment, with updates if that estimate changes. Personal data breach notification follows any applicable Data Processing Agreement and is not deferred to the next working day.
- 5.3 Report suspected outages or security incidents promptly by email, identifying the website and symptoms. Periodic monitoring does not guarantee immediate human intervention outside working days. Where the cause lies with a separate hosting or platform provider, we take reasonable steps within our access and agreed responsibilities and keep you informed; we cannot guarantee that provider’s repair time.
- 5.4 We may make proportionate temporary changes needed to contain an immediate security threat within systems we manage, and notify you as soon as reasonably practicable. This does not authorise unlimited paid work. Additional chargeable recovery work requires approval unless a specific emergency budget was agreed in advance.
6. Backups, hosting and client responsibilities
- 6.1 Hosting is not included in the £25 maintenance fee. You may purchase hosting separately through us or arrange it directly with a provider. Cancelling maintenance does not itself end hosting, and cancelling hosting does not itself cancel maintenance; tell us if you need both services ended. Domain renewals, email, platform subscriptions, database usage and third-party licences are separately payable only where agreed. You must maintain the hosting and access needed for us to deliver maintenance.
- 6.2 Platform backup or version-history features may be available. Unless an Order expressly specifies a backup service, we do not promise that those features cover all website files, databases, form submissions or uploads, or any particular backup frequency, retention period or restoration time. Before a material change, we create or confirm an available recovery point for affected components where supported; if no adequate recovery method is available, we explain the risk and agree a safe approach. An agreed backup service must state its coverage and recovery arrangements. This does not reduce our duty of care or any security and recovery obligations under an applicable Data Processing Agreement.
- 6.3 Keep your contact details current, maintain account access and licences you control, use strong authentication, and notify us of changes made by other developers. We may quote for faults caused by those changes, but remain responsible for problems caused by our own work. Any data processing agreement must be in place before we handle personal data on your behalf.
7. Failed payments and service changes
- 7.1 If payment fails, we will notify you and allow seven calendar days to put it right before suspending maintenance. No new credits accrue for unpaid periods; existing credits are frozen during suspension. We will restore paid access promptly after payment. We will not charge for a period after an effective termination.
- 7.2 If an undisputed payment remains unpaid for 30 calendar days after its due date, we may end the subscription after a further seven calendar days’ written notice. Amounts properly due before termination remain payable. We will not delete client data or take down separately paid hosting merely because maintenance is overdue.
- 7.3 We may change the price or materially change the plan only on at least 30 calendar days’ written notice, effective from the first renewal on or after that notice period. The notice will explain the change and your right to cancel before it takes effect. Already paid periods are unaffected. We will not remove accumulated credits retrospectively.
- 7.4 An urgent change required by law or necessary to address an immediate security risk may take effect sooner, with as much notice as reasonably possible. If it materially reduces the service, you may end the affected subscription and receive a proportionate refund for the unused prepaid period.
8. Cancellation and termination
- 8.1 You may cancel by emailing the address in clause 1 or using an available portal cancellation function. No phone call or explanation is required. One month’s notice applies: cancellation takes effect one calendar month after we accept the request, and one further monthly payment falls due in that notice period. Notice may be given during the minimum term to take effect at or after its end; cancellation before the end of the 12-month minimum term is by agreement, and we will confirm the end date and any amount properly due. If our delay causes a charge after the effective end date, we will refund it.
- 8.2 You may use available credits until the end date. We will complete an in-scope request approved before that date within the agreed timescale, even if completion falls shortly afterwards. Other unused credits expire when the subscription ends and are not refundable; they are part of the wider service, not separately purchased vouchers.
- 8.3 There is normally no pro-rata refund where you choose to end use during a paid month and we remain able and willing to deliver the service. This does not restrict remedies for our breach. We may end the plan on at least 30 calendar days’ written notice and refund any prepaid period beyond the end date. Either party may also terminate for material breach under the Business Client Terms.
- 8.4 On ending, we provide a basic handover of client-owned materials and available website exports we control without an exit fee, normally within 10 working days. Additional migration work requires a separate agreed quote. We identify any third-party services that must be replaced. We will give at least 30 days’ notice before deleting remaining non-personal project copies we hold; personal data return, deletion and retention follow the agreed data processing agreement and applicable law.
